General Terms

By accessing any of the information supplied by NPB Neue Privat Bank AG, Zurich (“NPB”), on this website (hereafter “the Website”) you express your understanding of and agreement with the following terms and conditions and legal information. The present terms and conditions for access and use of this Website are subject to change without notice. The present terms and conditions and legal information as well as the access and use of the Website maintained by NPB are governed exclusively by the laws of Switzerland whereby international conventions and Swiss conflict of law rules are hereby excluded from application. Exclusive place of jurisdiction is Zurich, Switzerland.

Access Restrictions

The Website maintained by NPB is directed only at legal and natural persons seated or domiciled in countries in which the mentioned financial products, particularly investment funds or its respec-tive share classes, are duly registered or approved for public distribution, offering or sale accord-ing to the applicable local laws. Where the public offering of such financial products, particularly investment funds, and/or the distribution and/or use of the information published by NPB on the Website, were to be contrary to local law or regulation, persons or legal entities in respect of whom such prohibitions/restrictions apply must not access or use the Website. The investment funds of NPB have particularly not been registered for public distribution, offering or sale in the following jurisdictions: USA, Germany, Austria, the Netherlands, United Kingdom, Canada, Japan, Taiwan, Malaysia and Hong Kong.Therefore, it is to be clearly under-stood that the Website is in particular, without limitation, not directed at legal entities or individuals that have their domicile or residence within the aforementioned countries, its territories or de-pendencies or that are subject to those countries' jurisdictions due to citizenship or similar statuses, and particularly such legal entities or individuals shall not access the Website.

Non-Resident
Clients

NPB Neue Privat Bank AG (Private Banking Division) offers Private Trust Accounts to non-resident individuals, trusts, foundations, and legal entities that are not domiciled or tax-resident in Switzerland. These accounts are established under Swiss private trust law and governed exclusively by Swiss legal standards, with the purpose of providing asset protection, long-term wealth preservation, and confidentiality in accordance with international best practices.

The Trust Account is designed as a legally distinct entity, governed by Articles 573 and 574 of the Swiss Civil Code, which require that trust assets be held separately from the trustee’s personal funds and used strictly for the purposes defined in the trust deed. Funds deposited into the account may only be applied for the preservation of capital, distribution to beneficiaries as specified in the trust agreement, or the payment of legitimate administrative, legal, or custodial expenses approved by the trustee.

The Bank strictly prohibits the commingling of trust funds with any other funds, including the Bank’s own assets, general trust income, or personal accounts. The Trust Account must not be used for any purpose other than those explicitly permitted by the trust deed, and it may not be used to settle any form of tax liability — including income tax, inheritance tax, capital gains tax, trust tax, or any other domestic or foreign tax obligation. The Swiss Federal Tax Administration (ESTV) has confirmed that tax liabilities cannot be paid from restricted trust accounts, and NPB complies strictly with this directive.

While NPB upholds the highest standards of confidentiality under Swiss Banking Secrecy Law, it is legally required to report account information to Swiss and international authorities in accordance with mandatory regulatory frameworks, including the OECD Common Reporting Standard (CRS), the U.S. FATCA regime, and requirements set by FINMA and the Swiss Financial Intelligence Unit (FIU). This reporting is not a breach of confidentiality but a legal obligation, and all transactions and account activities are subject to monitoring and disclosure as required by law.

The Client acknowledges full responsibility for all tax, legal, and regulatory obligations arising from the trust, including the obligation to settle such liabilities from non-trust sources such as general trust funds or personal assets. NPB does not provide legal, tax, or financial advice and is not responsible for the validity, structure, or tax implications of the trust deed. The Client agrees to consult independent legal, tax, and financial advisors in their home jurisdiction before establishing or operating a trust account with NPB.

These Terms are governed exclusively by Swiss law, without regard to conflict of law principles, and any dispute arising from or in connection with the Trust Account shall be subject to the exclusive jurisdiction of the cantonal courts of Zurich, Switzerland. NPB reserves the right to amend these Terms at any time with notice, and continued use of the Trust Account constitutes acceptance of the revised terms. The Bank may terminate the account at any time, with or without cause, in accordance with Swiss law and the trust deed.

No employment, partnership, or agency relationship is created between the Client and NPB by virtue of these Terms. If any provision is found to be invalid or unenforceable, the remainder of the Terms shall remain in full force and effect. These Terms constitute the entire agreement between the Client and NPB and supersede all prior discussions, representations, or agreements.
